This session uses a highly interactive role play format -- including stock, (fake) cash, and a potential outside buyer -- to illustrate what an ESOP is (& isn't), why someone would choose to do this, how the ESOP typically buys stock and pays for it, the basic rules of participation (including when and how employee-owners can receive their distribution payments), a *high level* explanation of the valuation process and how employee-owner affect value, concluding with a discussion of what changes and what does not under ESOP ownership. This hands-on session is targeted to those new to ESOPs, and to those charged with explaining the concepts in simple terms to their teams. Please note: this session is not a "spectator sport," we'll be asking everyone to join in, ask questions, have fun, and think about how to use this type of exercise in your own ESOP companies. No prior experience is needed or expected.
