Many ESOP Trustees now require that new ESOPs add at least 1 (if not 2) Independent Directors, or add them later in the ESOP life cycle. This session starts with "why," what value (and values) can directors bring, and then what combination of skills and experience you may want to prioritize (depending on your individual ESOP context), and then how to configure an overall portfolio of board skills, and how to identify, compensate, and monitor board members. We will present some frameworks, and engage the audience in active discussion, depending on the questions they bring.
